Uploading Content
If applicable, whenever you upload content to the site, or make contact with other users of the site, you must comply with the content standards set out in our Acceptable Use Policy. You warrant that any such contribution does comply with these standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty. Any content you upload to the site will be considered non-confidential, non-privileged, and non-proprietary. You are
solely responsible for securing and backing up your content. You retain all of your ownership rights in your content and grant us the User Content License.

User Content License
Unless otherwise agreed when you upload or post content to our sites, or supply it to us for podcasts or other audio-visual or written publications or productions, or events, and related marketing materials, whether we are the organiser, host, featured guest or attendee, or otherwise, you grant us the following rights to use that content: a worldwide, non-exclusive, fully paid-up, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, publish, and perform that content, in full or in part, including your name, voice, image, likeness, and business trademark(s) or service mark(s), in connection with our

identified contributors) as the authors of content on the site must always be acknowledged (except where content is user-generated). If you break this term, you lose your right to use the site, and you must return or destroy any copies of the materials you have made. However, you may print complete pages of the site as hard copies for your own personal use as reasonably required.

Infringement of Third Party Rights
If someone claims your uploaded content violates their intellectual property rights or of their right to privacy, we have the right to share your identity with them. We can remove any content you post if it breaches these Terms of Use.

User-generated Content
Any user-generated content on the site is not verified or approved by us, and those users’ views do not reflect ours.

While Synaworx uses all reasonable endeavors to ensure that the contents of this site are accurate and up to date, it does not accept any liability for any information which may not be accurate. Synaworx is reliant upon third parties for much of the information provided (see below) and reserves the right to change data,

Exclusion of Liability
The contents of this site are for general information and public relations purposes only and do not purport to provide advice, make any offer or otherwise create or lead to the creation of any legally enforceable relationship between Synaworx and you. No reliance should be placed on any statements made on the site,
whether for investment purposes or otherwise. Synaworx excludes to the fullest extent permitted by law all liability resulting from your access to the site including (without limitation) any loss (financial or otherwise) or damage resulting directly or indirectly from any such reliance.

Access to Site

We may suspend, withdraw, discontinue or change all or any part of the website without notice. We will not be liable to you if for any reason
the website is unavailable at any time or for any period.

Synaworx has no control over and may represent views or opinions not held by Synaworx. Synaworx accepts no liability or responsibility whatsoever for any other websites which may be accessed through the Synaworx website.

Viruses
We do not guarantee that the website will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs and platform in order to access the website. You should use your own virus protection software. You must not misuse the website by attempting to introduce or knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attack the website via a denial-of-service attack or a distributed denial-of-service attack. We will report any relevant breach of these Terms of Use to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the website will cease immediately.

No Data Mining or Web Scraping
You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to the site or any services provided via, or in relation to, the site. This includes using (or permitting, authorising or attempting the use of): any “robot”, “bot”, “spider”, “scraper”, artificial intelligence or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the site or any data, content, information or services accessed via the same; or any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations. The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of Digital Copyright Directive ((EU) 2019/790). This clause shall not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.

Linking
You may only link to our home page as long as it’s fair and legal and does not imply endorsement or association on our part where none exists. For any other linking, reach out to us first. We reserve the right to withdraw linking permission without notice. The website in which you are linking must comply in all respects with the
content standards set out in these Terms of Use.

Acceptable Use Policy
1) Using our site and services means you accept our Acceptable Use Policy.

2) Prohibited Uses. You must not use the site in any way that violates local, national, or international laws or regulations, or in any unlawful, fraudulent, or harmful manner. This includes using the site to bully, insult, intimidate, or humiliate others, or to knowingly send, receive, upload, download, use, or reuse any content that breaches these Terms of Use. You may not send or promote spam, unsolicited advertising, or similar communications, nor may you transmit any data or content containing viruses, Trojan horses, worms, spyware, adware, or any software designed to disrupt or damage systems. Additionally, you must not
reproduce, duplicate, copy, or resell any part of the site in violation of these Terms of Use. You are also prohibited from attempting to access, interfere with, damage, or disrupt any part of the site, including any systems or networks used to operate them, whether owned by us or third parties.

3) Interactive Services. From time to time, we may offer interactive services such as live streams, group video calls, video-sharing platforms, forums, chat rooms, or other tools that allow user interaction (referred to as “Interactive Services”). Where available, we will usually provide a way to contact a moderator if you experience any issues. However, we are under no obligation to monitor or moderate these services, and we accept no liability for any loss or damage that arises from their use, whether or not moderation is in place.

4) Personal Use & Prohibition on Distribution. All content available on the site is provided for your personal, non-commercial use. You are not permitted to distribute any content from the site for commercial purposes.

5) Events Policy. These Terms of Use also apply to any events you or your team attend, whether in person or online, that are hosted, sponsored, or organised by us. This includes participation in or involvement with the events in any form.

6) Breach of this Acceptable Use Policy. If we believe you have breached this Acceptable Use Policy, we may take any action we consider necessary. Breaching these rules is considered a serious violation of the Terms of Use and may result in actions such as the temporary or permanent removal of content you have
uploaded, suspension or termination of your access to the site, issuing a formal warning, or legal proceedings to recover associated costs. This may also include reporting your conduct to law enforcement if required. We exclude liability for any measures we take in response to such breaches and reserve the right to act as we see appropriate.

Waiver of Terms
If Synaworx chooses not to enforce any part of these Terms of Use, it does not mean we are waiving any right to enforce that part later or any other part of the Terms, and any failure or delay of Synaworx to enforce a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

These Terms of Use are personal to you, and you shall not assign, transfer, subcontract, delegate or deal in any other manner with any of your rights and obligations under these Terms of Use, without our prior written consent. We may do so, including by novating these Terms of Use (to transfer all our rights and obligations under it), at any time to any person.

Severance
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Complaints
If you find any illegal or problematic content, let us know using our contact details.

Governing Law & Jurisdiction
These Terms of Use are governed by the laws of England and Wales and you agree that the English courts shall have exclusive jurisdiction in any dispute.
